Terms of Service — WagieNet™ and the $WAGIE Protocol
■ 1. WHO WE ARE AND WHAT YOU ARE AGREEING TO
These Terms of Service (the “Terms”) are a binding agreement between you and [ENTITY NAME] (“Wagie Corp.”, “we”, “us”). They govern your access to and use of the WagieNet™ website and its desktop-style interface (the “Site”), the apply.exe application form, the Site’s API endpoints, and your interaction, through the Site, with the smart contracts described in Section 5 (the “Protocol”).
Wagie Corp. is a brand and a theme, not an employer. The Site is styled as a 1999 corporate intranet and uses the vocabulary of employment for effect. Words such as “employee”, “staff”, “hiring”, “headcount”, “HR”, “payroll”, “salary”, “tenure”, “promotion”, “resignation”, “overtime” and “termination” describe token-holder mechanics and nothing else. No employment, agency, partnership, joint-venture, fiduciary or advisory relationship is created by holding a token, holding a badge, submitting an application, connecting a wallet or using the Site. No wages, benefits or compensation of any kind are owed to anyone.
By accessing the Site, submitting an application, or interacting with the Protocol you confirm that you have read, understood and agree to these Terms, to the Privacy Policy and to the Risk Disclaimer, both of which are incorporated by reference. If you do not agree, do not use the Site or the Protocol.
■ 2. DEFINITIONS (THE GLOSSARY NOBODY READS)
- $WAGIE or the Token: the ERC-20 token named “Wagie Corp.” (symbol WAGIE) with a fixed supply of 1,000,000,000 units, deployed on Robinhood Chain at the address published on the board at launch.
- Badge: one of the 3,897 ERC-721 “Wagie Corp. Staff Badge” tokens, each with an ERC-6551 token-bound account.
- Board: the Site and the official X account @WagieCorp. These are the only official channels. Launch trading happens via ponsfamily.com; anything else is not us.
- Tokenized Stock: third-party tokens on Robinhood Chain whose value is designed to reference the price of an underlying equity (for example the tokens the Site labels NVDAx, AAPLx, TSLAx, SPYx, MSFTx, GOOGLx, AMZNx, METAx). They are issued and backed (if at all) by third parties, not by us, and are not shares.
- Wallet: the self-custodial EVM wallet software you connect to the Site. We never hold its keys.
- WL Application: a submission through apply.exe requesting a place in the 2,000-address allowlist for the Badge mint.
- Showroom Mode: the state of the Site before launch (or while demo figures are enabled) in which revenue, payroll and ledger figures are simulated. See Section 11.
- Launch: the moment we flip the Site to “LIVE” and publish the Token contract address on the board.
■ 3. ELIGIBILITY (PROBATION STARTS HERE)
You may use the Site and interact with the Protocol only if all of the following are true:
- You are at least 18 years old (or the age of majority where you live, if higher) and have full legal capacity to enter into these Terms.
- You are not located in, a resident or citizen of, or organised under the laws of a Prohibited Jurisdiction: any country or territory subject to comprehensive sanctions administered by the United Nations, the United States (OFAC), the European Union or the United Kingdom, and any jurisdiction where the Token, Badges, Tokenized Stock or the Site would be unlawful or would require a licence or registration we do not hold.
- You are not, and are not acting on behalf of, a person or entity on any sanctions or restricted-party list, and you will not use the Site or Protocol to evade sanctions or export controls.
- Your use complies with all laws that apply to you, including securities, commodities, gambling, tax, anti-money-laundering and consumer-protection laws. You alone are responsible for determining whether your use is lawful where you are; we make no representation that it is.
- You are not prohibited from using crypto-assets by an employer, regulator, court order or professional rule that applies to you.
We may restrict access by geography, address or any other criterion at any time without notice, and we may refuse or cancel any WL Application for any reason. On-chain restrictions are limited to what the Protocol’s code allows; we cannot freeze, seize or reverse on-chain transactions.
■ 4. THE SITE IS AN INTERFACE, NOT A CUSTODIAN
- Non-custodial. We never hold, control or have access to your private keys, tokens or funds. Every on-chain action is created, reviewed and signed by you in your own Wallet. We cannot reverse, cancel, refund or recover any transaction, burn, swap, escrow, pawn or transfer.
- Information only. The Site displays information read from the public blockchain and from our own database. It may be delayed, incomplete, cached or wrong. The blockchain — not the Site — is the record of truth. Verify anything that matters on-chain before you act.
- No obligation to operate. We may change, suspend, limit or discontinue the Site, any window, any API or any Protocol feature at any time, with or without notice, for any reason including legal, security or commercial reasons.
- Third-party infrastructure. The Site depends on Robinhood Chain, wallet software, decentralised exchanges, RPC providers, hosting and database providers we do not control (Section 14).
■ 5. PROTOCOL RULES (THE PART THAT IS CODE)
The Protocol consists of the smart contracts published on the board at launch (currently planned as WagieToken, WagieBadge with WagieBadgeAccount, StaffingVault, Payroll and SelfServe). The rules below summarise their behaviour as designed. If this summary and the deployed contracts differ, the deployed contracts control. The rules are enforced by code, apply equally to everyone, and cannot be waived, paused or adjusted for individuals. Prices do not update. There is no HR.

Payroll is not automatic and not guaranteed. A run requires an operator to execute it, requires revenue to have been collected, requires Tokenized Stock to be purchasable, and depends on trading volume that we do not control. We make no promise about the frequency, amount, timing or continuation of payroll, and we may pause it.
The owner of the contracts (initially [ENTITY NAME] or a multi-signature wallet it controls) may set the fee-receiving addresses, designate pairs and fee-exempt addresses, set the Badge mint phases and price, and appoint payroll operators, each as the code allows. Material changes are announced on the board. The contracts are not upgradeable; we may deploy new versions and announce a migration, in which case these Terms apply to the new versions.
■ 6. BADGES, THE STAFFING VAULT, ESCROW AND THE PAYDAY ADVANCE
- Badges are collectible NFTs with a payroll bonus inside the Protocol. They confer no equity, profit share, governance right, claim against us, or right to any service. Their art and traits are generated by code and are not unique works we warrant.
- The Staffing Vault is an automated fixed-price swap. It is not a marketplace we operate for you, it does not set a “fair value”, and it pauses on its own when it runs out of tokens. It only accepts a “clean” Badge — no active escrow and no open pawn.
- Escrowed tokens are locked to the Badge’s ERC-6551 account. If you transfer or sell the Badge, the escrow goes with it. The 7-day unlock delay cannot be shortened.
- The payday advance is an automated pawn function of the vault contract. It is not a loan from us, we receive no interest (the interest is burned), and we do not assess your suitability. If you do not repay within 30 days you lose the Badge and everything attached to it. This function may be regulated or unavailable where you live; do not use it if that is the case.
■ 7. SELF-SERVICE BURNS, OVERTIME AND ENVELOPES
- Every burn is final. Burned tokens are sent to the zero address and cannot be recovered. No goods or services are delivered in exchange. Titles, certificates, parking spots and candidacies are records written to your Badge or wallet; they have no effect on payroll (except overtime cards) and no monetary value.
- Envelope outcomes are produced by an on-chain pseudo-random function (block randomness, a nonce and the sender). It is not a verifiable random function, it can in principle be influenced by block producers, and we do not warrant its fairness. The published expected return of approximately 80% is a statistical statement, not a promise about any envelope.
- Envelopes may be a game of chance under the law of your jurisdiction. If games of chance are restricted where you are, do not open envelopes.
- Envelope rewards are fulfilled by an operator from the Bonus Pool. If the pool cannot cover a reward, envelope sales pause; you have no claim against us for any unfunded reward.
■ 8. WL APPLICATIONS (apply.exe)
- Applying does not guarantee anything. Headcount is limited to 2,000. We review applications at our sole discretion, may verify your public X activity, and may reject, ignore or delay any application without reasons. There is no appeal (there is no HR).
- A queue number is a receipt, not a promise, not a ticket, not transferable and not a financial instrument. Duplicate wallets, multiple applications by one person, automated submissions and rate-limit circumvention are grounds for rejection of all related applications.
- You warrant that the X handle and wallet address you submit are yours and accurate. We are not responsible for anything sent to a wrong address you supplied.
- In Showroom Mode, or whenever our application server is not configured, the Site issues an offline receipt that is not stored anywhere. It has no effect.
- We will never contact you first by direct message, never ask for your seed phrase or private key, and never ask you to send tokens to “verify” anything.
■ 9. WALLET CONNECTION
Connecting a Wallet reads your public address through your wallet software and may ask your wallet to switch to Robinhood Chain. The Site never asks for your seed phrase or private key. You are responsible for every approval and transaction you sign, for your wallet’s security, and for checking that you are on the real Site before you connect. Connecting does not affect tenure; tenure starts when $WAGIE lands in the wallet.
■ 10. NO ADVICE, NO OFFER, NO GUARANTEED RETURNS
- $WAGIE is a memecoin-style token with no intrinsic value, no backing, no redemption right and no rights against us. Its price can go to zero.
- Tokenized Stock is not stock. It does not make you a shareholder and may not track its reference asset. See the Risk Disclaimer.
- The “Estimated monthly salary” in payroll.exe is arithmetic based on stated assumptions (for example an assumed daily volume). It is an estimate, not a forecast, not a promise and not a rate.
- Past payroll runs, if any, do not indicate future runs.
■ 11. SHOWROOM MODE, SIMULATED FIGURES AND OFFICIAL CHANNELS
- Before launch the Site runs in Showroom Mode: the revenue bar, ETA, payroll counter, ledger rows, “total burned”, vault counts and similar figures are simulated or placeholders. Example ledger rows (such as “#1207 METAx $531.20”) are fictional. Badges shown are illustrative renders. Nothing counts until the tray says LIVE and the contract address is on the board.
- Even after launch, a demo setting may keep some figures simulated until live chain data is wired in; the board will say so.
- The only official channels are the Site and @WagieCorp. Launch trading happens via ponsfamily.com. We do not run presales, airdrops that require you to send funds, or “support” accounts. If it’s not on the board, it’s not real.
■ 12. PROHIBITED CONDUCT (THE EMPLOYEE HANDBOOK)
You agree not to:
- use the Site or Protocol in breach of any law, sanction or these Terms, or from a Prohibited Jurisdiction;
- engage in market manipulation, wash trading, spoofing, or fraud, or exploit a bug, oracle, randomness source or design flaw of the Protocol or Site;
- attack, overload, scrape, probe or circumvent the security or rate limits of the Site or its API, or submit applications by bot, script or multiple identities;
- impersonate Wagie Corp., its staff (there are none), HR (there is none), the board, or any other person, or claim an affiliation you do not have;
- upload or transmit malicious code, or infringe anyone’s intellectual-property, privacy or other rights;
- harass, threaten or defraud other users, or breach the terms of X or any other third-party service you use in connection with the Site;
- use the Site to launder money, finance terrorism or evade taxes.
We may investigate suspected violations, reject or revoke WL Applications, block addresses from the Site, and cooperate with authorities.
■ 13. INTELLECTUAL PROPERTY
- The Site’s text, design, layout, the WagieNet™ name, the Wagie Corp. name and logo, the bulletin notices, the characters (including Gary) and all other content are owned by [ENTITY NAME] or its licensors and are protected by copyright, trademark and other laws. We grant you a limited, revocable, non-exclusive, non-transferable licence to view the Site for personal, non-commercial use. No other rights are granted; do not use our names or logos without written consent.
- Portions of the Site’s source code and the smart contracts are published under the MIT License in the public repository. That licence covers the code only. It does not license the brand, copy, artwork or any trademark.
- Badge artwork is generated by code on-chain. As the holder of a Badge you may display, reproduce and use its image for personal, non-commercial purposes and to sell or promote that Badge. We claim no rights over your wallet address or your on-chain activity.
- If you send us feedback or suggestions you grant us a perpetual, irrevocable, royalty-free licence to use them without obligation to you.
■ 14. THIRD-PARTY SERVICES AND LINKS
Robinhood Chain, decentralised exchanges (including any listing via ponsfamily.com), Tokenized Stock issuers, wallet providers (such as MetaMask), X, and our hosting and database providers are independent third parties with their own terms and privacy policies. We do not control them, are not responsible for them, and do not endorse them. “Robinhood” and all other third-party names are trademarks of their respective owners; we are not affiliated with, endorsed by or sponsored by any of them. Links from the Site are provided for convenience only.
■ 15. NO HR, NO SUPPORT OBLIGATION
We do not provide customer support, account recovery, transaction assistance or any service level. Announcements are made on the board when we choose to make them. We have no obligation to answer messages, to publish schedules, to keep any feature available, or to continue the project. The Site and Protocol are experimental software provided on a best-effort basis.
■ 16. DISCLAIMER OF WARRANTIES
To the maximum extent permitted by law, the Site, the Protocol, the Token, the Badges and all related content and services are provided “as is” and “as available”, without warranty of any kind, express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security or freedom from errors or harmful code. We do not warrant that any transaction will execute, that any payroll will run, that any figure on the Site is correct, or that the Protocol is free of vulnerabilities. Any audit we publish is a point-in-time review and not a guarantee.
■ 17. LIMITATION OF LIABILITY
To the maximum extent permitted by law, in no event will Wagie Corp., [ENTITY NAME], or their owners, contributors, developers, operators, licensors or agents be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, tokens, digital assets, data, goodwill or opportunity, arising out of or related to the Site, the Protocol, the Token, the Badges, Tokenized Stock, any third-party service, or these Terms, whether in contract, tort (including negligence), strict liability or otherwise, even if advised of the possibility. Our total aggregate liability for all claims will not exceed the greater of (a) one hundred US dollars (USD 100) and (b) the amount, if any, you paid directly to us for use of the Site in the twelve months before the claim (which is expected to be zero, as we charge nothing for the Site).
Some jurisdictions do not allow certain exclusions or limitations; in those jurisdictions our liability is limited to the fullest extent permitted. Nothing in these Terms excludes liability for fraud, for death or personal injury caused by negligence, or for any liability that cannot lawfully be excluded.
■ 18. INDEMNITY
You will defend, indemnify and hold harmless Wagie Corp., [ENTITY NAME] and their owners, contributors, developers, operators, licensors and agents from and against all claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Site or the Protocol, (b) your breach of these Terms or of any law, (c) your WL Application or any information you submit, (d) your Wallet, keys or transactions, or (e) your violation of any third party’s rights.
■ 19. GOVERNING LAW AND DISPUTES
These Terms and any dispute arising out of or in connection with them, the Site or the Protocol are governed by the laws of [JURISDICTION], without regard to conflict-of-law rules. Before starting any formal proceeding you agree to contact us at [CONTACT E-MAIL] and to try in good faith to resolve the dispute informally for at least thirty (30) days. Subject to that, the courts of [JURISDICTION] have exclusive jurisdiction, and you waive any objection based on venue or inconvenient forum. To the extent permitted by law, you agree that disputes will be resolved individually and not as a plaintiff or class member in any class, collective or representative proceeding. Mandatory consumer-protection rules of your country of residence that cannot be contracted out of are not affected.
■ 20. CHANGES TO THESE TERMS
We may change these Terms at any time by posting a revised version with a new effective date on this page. Material changes will also be announced on the board. Changes take effect when posted. Your continued use of the Site or the Protocol after that is acceptance of the revised Terms. If you do not accept them, stop using the Site. On-chain rules cannot be changed by editing this page; they change only by deploying new contracts.
■ 21. GENERAL
- Entire agreement. These Terms, the Privacy Policy and the Risk Disclaimer are the entire agreement between you and us regarding the Site and replace any prior understanding.
- Severability. If any provision is unenforceable it will be enforced to the maximum extent permitted and the rest remains in force.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms. We may assign them to a successor or affiliate.
- Force majeure. We are not liable for any failure caused by events beyond our reasonable control, including chain outages, exchange failures, regulatory action, hacks of third-party systems or acts of God.
- Electronic communications. You consent to receive notices electronically via the board.
- Survival. Sections 5, 10, 13 and 16 to 21 survive termination.
- Language. These Terms are written in English; any translation is for convenience and the English text controls.
- Headings and jokes. Headings, parenthetical asides and every reference to HR are for convenience and tone only and do not affect interpretation.
