1. WHAT THIS PROJECT IS

WagieNet™ is a satirical “corporate intranet” front-end for the $WAGIE token and its smart contracts (the “Protocol”), operated by [ENTITY NAME] (“Wagie Corp.”, “we”). It is an entertainment-flavoured crypto project. The corporate vocabulary — employees, HR, payroll, salaries, tenure, promotions, termination — is a theme describing token mechanics; it does not describe any real employment, income, or obligation owed to you. This Disclaimer is part of the Terms of Service and should be read with the Privacy Policy.

2. NOT FINANCIAL, LEGAL OR TAX ADVICE

Nothing on the Site, on the board, in the bulletin, in any calculator, in any smart contract or in any communication from us is investment, financial, trading, legal, tax or accounting advice, or a recommendation to buy, sell, hold, lock, burn or pawn anything. We are not regulated advisers, brokers, dealers, exchanges or custodians. Make your own decisions and consult qualified professionals where you live.

3. NOT AN OFFER, NOT REGISTERED

Nothing here is an offer to sell, or a solicitation of an offer to buy, securities, derivatives, commodities or any other regulated instrument in any jurisdiction. $WAGIE and Badges have not been registered with or approved by any securities, commodities or financial regulator anywhere. They may be treated as securities or other regulated instruments in some jurisdictions; we take no position on that and it is your responsibility to determine whether you may lawfully hold them where you are.

4. YOU CAN LOSE EVERYTHING — $WAGIE RISK FACTORS

  • No intrinsic value. $WAGIE is backed by nothing, redeemable for nothing and confers no rights against anyone. Its price is set entirely by what other people are willing to pay.
  • Extreme volatility and illiquidity. Memecoin prices routinely move tens of percent in minutes and can fall to zero permanently. Liquidity can disappear; you may be unable to sell at any price.
  • Fee friction. Every buy and sell through a designated pair pays a 4% fee. A round trip costs about 8% before slippage, gas and exchange fees.
  • Concentration. Large holders, the team, liquidity providers and early buyers can move the market.
  • Total-loss scenarios. Contract exploit, key compromise, exchange delisting, regulatory action, loss of interest or abandonment of the project could make your tokens worthless.

5. TOKENIZED STOCK IS NOT STOCK

  • Payroll pays in third-party tokens that are designed to reference the price of an equity (labelled on the Site as NVDAx, AAPLx, TSLAx, SPYx, MSFTx, GOOGLx, AMZNx, METAx). We do not issue them. Their issuer, backing, custody, redemption terms and legal status are set by third parties and may change or fail.
  • Holding a tokenized stock does not make you a shareholder: no voting rights, no direct dividends, no claim against the company or its assets, no protection from investor-compensation schemes.
  • Tokenized stock may not track its reference price, may trade at a discount or premium, may be paused, frozen, delisted or unavailable in your jurisdiction, and may become worthless if its issuer or custodian fails.
  • The stock delivered by a payroll run is whichever asset is next in the rotation and available to buy at that moment; you cannot choose, and complaints go to HR (there is no HR).

6. SMART-CONTRACT RISK

  • The contracts are software. Software has bugs. Even audited, tested code can contain vulnerabilities that lead to loss of funds, stuck tokens, incorrect payroll, wrong tenure, or badges that cannot be recovered.
  • The contracts are not upgradeable. A bug cannot be patched in place; the only remedy would be deploying new contracts and asking everyone to migrate, which may not succeed.
  • The Badge account system depends on the public ERC-6551 registry and on an account implementation we set; failures or changes there can affect badge accounts, escrow and records.
  • Owner and operator keys can be lost, stolen or misused. Fee addresses, pairs, exemptions, mint phases and payroll operators are controlled by those keys.
  • Any audit we publish is a point-in-time review by a third party and is not a guarantee of safety.

7. CHAIN, WALLET AND PHISHING RISK

  • Robinhood Chain is a third-party network. Sequencer or validator downtime, congestion, bridge failures, reorganisations, forks and protocol changes can delay, fail or reverse transactions and can strand assets.
  • Your wallet is your responsibility. Lost seed phrases cannot be recovered by anyone. Malicious approvals, fake sites, fake tokens and fake “support” accounts are common. We will never DM you first, never ask for your seed phrase, and never ask you to send tokens to “verify” or “unlock” anything.
  • Always check the URL and compare the contract address with the one on the board before interacting.

8. PROTOCOL RULES ARE RULES, NOT PROMISES

  • The 4% fee split (3.0% payroll · 0.5% team · 0.5% Bonus Pool), the $500 payroll trigger, the 401,000 $WAGIE payroll floor, the tenure tiers (0.5× to 2.5×), the badge bonuses, the overtime and envelope parameters and the fixed 401,000 badge price are rules implemented in code. They describe how the Protocol behaves; they do not promise that anything will be paid.
  • Tenure reset is a protocol rule. Any sell to the pair or any wallet-to-wallet transfer out of a non-exempt wallet resets that wallet to Intern, regardless of amount, intent or accident (sending to your own other wallet counts). Buying never resets. There is no appeal mechanism because there is no mechanism.
  • Payroll depends on volume and on an operator. Revenue accrues only when people trade. A run happens only when revenue reaches the trigger and an operator executes it. Volume can be zero. Runs can be rare, small, delayed or stop entirely. Balances under the floor receive nothing.
  • The payroll.exe “Estimated monthly salary” assumes a stated daily volume (for example $25,000) and a formula; it is a toy calculator. Reality can be zero.
  • Multipliers stack up to a hard cap of 3.0× and never guarantee any absolute amount.

9. BADGES, VAULT, ESCROW AND PAWN

  • Badge prices on secondary markets can be below the 401,000 vault price or the vault can be unable to buy (sales pause when its token side is below 392,980). A badge is only worth what someone — or the vault — will pay.
  • Escrow is locked for at least 7 days after you request an unlock. During volatility you cannot exit faster. Escrow moves with the badge; if you sell a badge you must unlock first.
  • The payday advance is a pawn. Miss the 30-day repayment by even one block and anyone can terminate: the badge, its escrow and its records are gone. Interest is burned, not refunded.
  • Buying a badge from the vault gives you a badge that may carry a previous owner’s records. Records are permanent.

10. ENVELOPES AND BURNS

  • Envelope outcomes come from an on-chain pseudo-random source (block randomness, a nonce and your address). It is not a verifiable random function. Block producers may in theory influence it. The odds table is the design; it is not a certification.
  • The expected return of an envelope is approximately 80% of its cost — the design burns the other 20% on average. Envelopes are an entertainment and burn mechanism, not a way to make money, and may be a game of chance under your local law.
  • Rewards are paid by an operator from the Bonus Pool in tokenized stock. If the pool is empty, sales pause and no reward is owed.
  • All burns are irreversible: overtime, envelopes, catalog items, vault fees, pawn interest and coffee-fund donations are sent to the zero address and cannot be recovered by anyone, including us.

11. SHOWROOM MODE — THE NUMBERS ARE FAKE UNTIL THEY ARE NOT

  • Before launch the Site displays simulated revenue, ETA, payroll numbers, ledger rows, burn totals and vault counts to demonstrate the interface. The example payroll rows and the 3,897 badge renders are illustrative. The clock is real; the salary is not.
  • Nothing on the Site counts until the taskbar tray reads LIVE and the contract address is published in the portal. Even then, a demo setting may keep figures simulated until live chain data is connected; the board will say so.
  • If it’s not on the board, it’s not real.

12. OFFICIAL SOURCES AND IMPERSONATION

  • Launch trading happens via ponsfamily.com. The contract address is published in the WagieNet portal and on @WagieCorp. Any other “launch”, presale, private sale, airdrop claim, allowlist “fee” or support account is an impersonation.
  • We have no Telegram admins who DM you, no “verification” bots and no refunds desk. Report impersonators publicly; there is no HR to report them to privately.

13. TAX AND REGULATORY RISK

Buying, selling, receiving payroll, burning, swapping badges and winning envelopes may each be taxable events where you live, and you are solely responsible for determining, reporting and paying any tax. Laws on crypto-assets, tokenized securities and games of chance differ by country and are changing; a change in law or regulatory action could restrict or end the Protocol, the Site or your ability to use them, without compensation.

14. FORWARD-LOOKING STATEMENTS

Statements about what will happen “at launch”, planned contracts, audits, features, badge sales, payroll schedules, envelope pools, coffee-machine repairs or anything else in the future are plans and intentions, not commitments. Plans change, slip or are cancelled. Do not rely on them.

15. NO AFFILIATION

Wagie Corp. and [ENTITY NAME] are not affiliated with, endorsed by or sponsored by Robinhood Markets, Inc. or the operators of Robinhood Chain, ponsfamily.com or Pons, X Corp., MetaMask or Consensys, Supabase, Vercel, OpenZeppelin, the ERC-6551 registry maintainers, or any issuer of tokenized stock. All names, marks and stock tickers belong to their owners and are used only to describe the assets and services the Protocol interacts with.

16. FICTIONAL PERSONNEL

Gary Thompson, every name on every badge, the 3rd-floor coffee machine, the bulletin notices and HR are fictional. Any resemblance to real persons, coffee machines or HR departments is coincidental. Gary has not, in fact, been holding since November 2025; Gary does not exist.

17. LIABILITY

Your use of the Site and the Protocol is at your own risk. The disclaimers of warranty, limitation of liability and indemnity in the Terms of Service apply to everything described on this page. This Disclaimer is governed by the law of [JURISDICTION] as set out there.
